In accessing the Site and using the Services, you (hereafter referred to as “you” or “the User”) acknowledge that you have read, understood, and agreed to be bound by this Agreement and that you represent and warrant that you are of legal age and not prohibited by law from accessing the website.

Zavida Coffee Company Inc. may update or revise this Agreement (including any Zavida Coffee Company Policies) occasionally. You agree that you will review this Agreement periodically.

You are free to decide whether or not to accept a modified version of this Agreement, but accepting this Agreement, as modified, is required for you to continue the use of the website. You may have to click “accept” or “agree” to show your acceptance of any modified version of this Agreement. The term “you” or “the User” refers to the user or viewer of Zavida Coffee Company website.

The term “Members” refers to the user enrolled in Zavida PERKS program.

Zavida allows you to share our product(s) through various Social Media Applications with other users. Any personal information that you contribute to any Social Media Application can be read, collected and used by these Social Media Organizations. Therefore, we are not responsible for the policies and terms of use of other Social Media Applications and their Organization.

In addition, there are links to other websites managed by other organizations; this Agreement only applies to Zavida Coffee Company Inc.

HEREBY DISCLAIMS ANY AND ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, TITLE, NON-INFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE AND WARRANTIES RELATED TO THIRD PARTY EQUIPMENT, MATERIAL, OR ZAVIDA COFFEE COMPANY MATERIAL OR PRODUCTS ARE PROVIDED “AS IS” TO THE FULLEST EXTENT PERMITTED BY LAW. TO THE EXTENT SUCH DISCLAIMER CONFLICTS WITH APPLICABLE LAW, THE SCOPE AND DURATION OF ANY APPLICABLE WARRANTY WILL BE THE MINIMUM PERMITTED UNDER SUCH LAW.

Indemnification

You agree to indemnify, defend, and hold harmless Zavida Coffee Company Inc., its officers, directors, employees, agents, licensors and suppliers (collectively the “Service Providers”) from and against all losses, expenses, damages and costs, including reasonable attorneys’ fees, resulting from any violation of these terms and conditions or any activity related to your account (including negligent or wrongful conduct) by you or any other person accessing the site using your Internet account.

Errors

In the event that a product is mistakenly listed at an incorrect price on the website, Zavida Coffee Company reserves the right to refuse or cancel any orders placed for product listed at the incorrect price whether or not the order has been confirmed and your credit card charged. If your credit card has already been charged for the purchase and your order is cancelled, Zavida Coffee Company shall issue a refund to your credit card account in the amount of the incorrect price.

Termination

These Agreements, or any part of Term of Use, may be terminated by Zavida Coffee Company Inc. without notice at any time, for any reason. The provisions relating to Copyrights, Trademark, Disclaimer, Limitation of Liability, Indemnification and Miscellaneous, shall survive any termination.

Notice

Zavida Coffee Company Inc. may deliver notice to you by means of e-mail or by another reliable method through your contact information provided to Zavida Coffee Company Inc. If you have subscribed to our electronic newsletter, you may unsubscribe at any time.

Exclusion of Damages; Limitation of Liability

UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY, WHETHER IN TORT, CONTRACT, OR OTHERWISE, WILL ZAVIDA COFFEE COMPANY INC. BE LIABLE TO USER FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES OF ANY CHARACTER, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF GOODWILL, LOST PROFITS, LOST SALES OR BUSINESS, WORK STOPPAGE, COMPUTER FAILURE OR MALFUNCTION, LOST DATA, OR FOR ANY AND ALL OTHER DAMAGES OR LOSSES, EVEN IF ZAVIDA COFFEE COMPANY HAS BEEN ADVISED, KNEW OR SHOULD HAVE KNOWN OF THE POSSIBILITY OF SUCH DAMAGES.

UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY, WHETHER IN TORT, CONTRACT, OR OTHERWISE, WILL ZAVIDA COFFEE COMPANY INC. BE LIABLE TO USER FOR ANY SPECIAL OR CONSEQUENTIAL DAMAGES THAT RESULT FROM THE USE OF, OR THE INABILITY TO USE, THE SERVICES, MATERIALS OR PRODUCTS ON THIS SITE OR THE PERFORMANCE OF THE MATERIAL OR PRODUCTS, EVEN IF ZAVIDA COFFEE COMPANY INC. HAS BEEN ADVISED, KNEW OR SHOULD HAVE KNOWN OF THE POSSIBILITY OF SUCH DAMAGES.

THE PROVISIONS OF THIS SECTION ALLOCATE THE RISKS UNDER THIS AGREEMENT BETWEEN THE PARTIES, AND THE PARTIES HAVE RELIED ON THE LIMITATIONS SET FORTH HEREIN IN DETERMINING WHETHER TO ENTER INTO THIS AGREEMENT.

Zavida PERKS Program

Zavida Perks program offers a range of benefits to Members using the website. The experience provided with Zavida Perks may be personalized towards the Members’ profiles. Members are responsible for knowing the current terms of use of Keurig Perks in order to understand their rights, responsibilities and status under the Zavida Perks Program.

Zavida Coffee Company Inc. reserves the right to modify or delete, at any time, all or part of the list of requirements, benefits, rewards and bonuses, without the Member being able to claim or demand any compensation or reparation. Zavida Coffee Company Inc. reserves the right to modifications to Zavida Perks terms, conditions, rewards and special offers at any time with or without notice.

The accrual of points does not entitle Members to any entrusted rights to points, rewards or benefits. In accumulating point, Members may not rely upon the continued availability of any rewards or benefits through the membership. Zavida Coffee Company Inc. reserves the right to withdraw or increase the point requirements or new restrictions at any time.

Members acknowledge and accept the features and limitations of the Zavida Perks functioning and information processing system used to track their benefits. In addition, any technical malfunctions that may occur, for reasons, such as, but not limited to, electrical surges, occasional failure of electronic components, or software programming or design errors. Zavida Coffee Company Inc. is not responsible for any direct or indirect damages associated with a technical malfunction or any suspension, temporary or permanent, of the benefits of Zavida Perks Program.

Members are responsible for ensuring that earned points are properly credited. If a Member believes that points have been accumulated, is not properly credited, the Member is required to submit documentation or other proof satisfactory to Keurig. Any claim for outstanding points not credited must be received by Zavida Coffee Company Inc. within 12 months after the points were believed to be earned.

Zavida Perks may be suspended or terminated without any notice. Zavida Coffee Company will have no liability towards its Members and will be automatically freed from any claim by the Members in regard to said suspension or termination, with the exception of products or services that have been paid for but not used at the time of the suspension or termination, which will be reimbursed to Members according to the terms disclosed with the notice of suspension or termination.

Terms

The term of this Agreement will commence on the date the User has accessed the website.

Governing Law

The laws of Canada govern these Terms of Use. You hereby consent to the exclusive jurisdiction of the Canadian courts in all disputes arising out of or relating to this Agreement. Zavida Coffee Company may, and you may not, assign, convey, subcontract or delegate rights, duties or obligations hereunder.
